This agreement
These terms govern the use of NepEdu, the management platform operated by NepEdu Pvt. Ltd. of Kathmandu, Nepal, together with the nepedu.com website.
They form a contract between us and the institution that subscribes: the school, college, coaching centre, language or training institute, or academy named in the order form or quotation we agree with you, or in the sign-up it completes. Where an order form and these terms disagree, the order form wins.
Who else is covered
Everyone the institution gives an account to is a user: administrators, teachers, other staff, learners and guardians. The institution is responsible for their use of NepEdu, and for making sure they follow these terms.
Accounts and access
NepEdu is sold to institutions, not to individuals. An institution gets its workspace either by signing up itself or by asking us to set one up, and from then on it creates and manages the accounts inside it. Whoever registers must be authorised to enter into these terms on the institution’s behalf.
- Credentials are personal. Accounts must not be shared. If you believe a password or session has been compromised, change it immediately and tell us.
- Admins hold real power. Whoever the institution makes an administrator can see and change the institution’s records and grant permissions to others. Choose them carefully.
- Accuracy is the institution’s job. We store what you enter. We cannot verify that a phone number, a mark or an attendance record is correct.
Fees and payment
What the institution pays, in what currency, over what period, and what is included is set out in the plan it subscribes to, or in the order form or quotation we agree with you. Unless it says otherwise:
- Charges are quoted in Nepali rupees and invoiced in advance for the agreed term.
- Invoices are payable within 15 days of the invoice date.
- Charges are exclusive of taxes and government levies, which the institution pays where they apply.
- Optional add-ons such as SMS delivery are charged separately, at the rate in the order form, because we are billed for them per message.
If an invoice goes unpaid, we will chase it before we do anything else. Suspension is a last resort, we will give reasonable notice first, and we will not delete an institution’s data over an unpaid invoice without telling you and giving you the chance to export it.
Term, renewal and cancellation
A subscription runs for the term in the order form and renews for the same period unless either of us gives notice before the term ends. Either side may cancel at the end of a term. Fees already paid for the current term are not refunded when an institution cancels part-way through, unless we have failed to provide the service.
We may suspend or terminate an account immediately if it is being used to break the law, to attack the platform, or in a way that endangers another institution’s data. We will tell you why.
Acceptable use
Do not use NepEdu to:
- Break the law, or hold data the institution has no lawful basis to hold.
- Attempt to reach another institution’s data, or probe, scan or attack the platform. (Genuine security research is welcome, see responsible disclosure.)
- Upload malware, or content that is unlawful, harassing, or harmful to a child. NepEdu holds minors’ records; we take this seriously.
- Resell, sublicense or white-label the platform, or copy it, reverse-engineer it, or use it to build a competing product.
- Scrape it, or hammer the API in a way that degrades the service for other institutions.
Your data stays yours
The short version
The institution owns its data. We do not sell it, we do not mine it, we do not use it to train AI models, and we do not use one institution’s data to serve another. We hold it to run the service you are paying for, and for nothing else.
The institution grants us only the permission we need to host, back up, transmit and display its data in order to operate the platform, plus the right to act on its support requests. That permission ends when the subscription does.
How we handle that data is set out in the Privacy Policy and the Data Processing Addendum, which forms part of these terms. The institution is the controller of the personal data it puts into NepEdu; we are its processor.
What the institution must do in return
NepEdu holds personal data about people, and in a school that mostly means children. The institution is responsible for having the right to collect it, for telling learners and guardians what it does with it, and for obtaining any consent the law requires, whether that consent comes from an adult learner or from the parent of a child. We cannot do that part for you.
Getting your data out
You can export your data while your account is active. When a subscription ends we keep the data available for 30 days so you can take a copy; after that we delete it from the live system and remove it from our backups.
If you would rather we deleted it sooner, ask, and we will. Holding an institution’s records hostage is not a business model we are interested in.
Availability and support
We work to keep NepEdu available and fast, and we will give reasonable notice of planned maintenance where we can. We do not promise uninterrupted service in these standard terms: things outside our control, such as power, connectivity or a provider outage, can and do take systems offline in Nepal.
If your institution needs a guaranteed uptime commitment with agreed response times, we can agree one in your order form. Ask us rather than assuming.
Our intellectual property
The platform itself remains ours: the software, the design, the NepEdu name and logo. The institution gets the right to use it for the term of the subscription; it does not get ownership of it. Feedback you send us we may use freely to improve the product, without any obligation to you.
Warranties and liability
We provide NepEdu with reasonable skill and care. Beyond what these terms say, and to the extent the law allows, the service is provided as-is: we do not warrant that it will be error-free or that it will meet every requirement an institution has.
Neither of us is liable for indirect or consequential loss, or for loss of profit, goodwill or anticipated savings. Our total liability to an institution for all claims in any twelve-month period is limited to the fees that institution paid us in the twelve months before the claim arose.
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, or for death or personal injury caused by negligence.
Changes to these terms
We may update these terms to reflect a new feature, or a change in the law. We will post the new version here with a new date, and where a change materially affects an institution’s rights we will tell that institution before it takes effect. Continuing to use NepEdu after that means you accept the change; if you do not, you may cancel at the end of your term.
Governing law
These terms are governed by the laws of Nepal, and the courts of Kathmandu, Nepal have exclusive jurisdiction over any dispute arising from them. Before either of us goes near a court, we should try to sort it out by talking. Write to us and we will engage in good faith.
Before you sign anything
If something here does not work for your institution, tell us. Terms are a starting point, not an ultimatum, and most of what matters ends up in your order form anyway.
